ThisAgreementisenteredintothis23rddayofOctober2012byandbetween
withofficesat(hereinafter"Recipient")andTLJonesParts(Shanghai)with
officesat"4thfloor,#75Building,1066QinZhouBeiRoad,Shanghai200233,PRC
(hereinafter"Discloser").
WHEREASDiscloserpossessescertainideasandinformationrelatingtoMicroscanDoor
protectionandotherliftequipment,thatisconfidentialandproprietarytoDiscloser
(hereinafter"ConfidentialInformation");and
WHEREAStheRecipientiswillingtoreceivedisclosureoftheConfidentialInformation
pursuanttothetermsofthisAgreementforthepurposeofManufacturing,ServiceandSales
ofallTLJones'sproductandotherliftequipment
NOWTHEREFORE,inconsiderationforthemutualundertakingsoftheDiscloserandthe
RecipientunderthisAgreement,thepartiesagreeasfollows:

thesecrecyoftheConfidentialInformation,andtopreventtheConfidentialInformationfrom
fallingintothepublicdomainorintothepossessionofunauthorizedpersons.

proprietaryandtheRecipientshallhavenoobligationwithrespecttosuchinformationwhere
theinformation:
(a)wasknowntoRecipientpriortoreceivinganyoftheConfidentialInformationfrom
Discloser;
(b)hasbecomepubliclyknownthroughnowrongfulactofRecipient;
(c)wasreceivedbyRecipientwithoutbreachofthisAgreementfromathirdpartywithout
restrictionastotheuseanddisclosureoftheinformation;
(d)wasindependentlydevelopedbyRecipientwithoutuseoftheConfidentialInformation;or
(e)wasorderedtobepubliclyreleasedbytherequirementofagovernmentagency.

InformationforanypurposewithoutobligationtoRecipientNothingcontainedhereinshallbe
